Qualifications and skills
Bachelor's degree or above (LLB, LLM or Juris Doctor preferred) from an accredited law school in France or another EU country. Admission to practice law in at least one additional jurisdiction, in particular the USA or the UK, would be a plus.
A minimum of 4–5 years of relevant legal experience, including at least 3 years at an international law firm.
Substantial experience in M&A, VC and/or equity financing transactions, including hands-on experience working on large- to mid-cap acquisitions, from due diligence through signing and closing.
Familiarity with VC/PE-type transaction documentation is highly valued: you understand complex shareholders’ agreements, management and employee incentive packages, as well as the governance dynamics of venture-backed and PE-backed companies.
Excellent written and verbal communication in both English and French, with a strong ability to present complex legal concepts clearly to non-legal stakeholders.
Knowledge and understanding of artificial intelligence technologies, including machine learning, natural language processing and their applications.
Adaptability: proactive, flexible, eager to learn and able to manage multiple priorities in a fast-paced environment.
Ethical awareness: a strong understanding of ethical considerations related to AI, such as fairness, transparency, accountability, and bias mitigation.

Role Summary
As our M&A & Equity Financing Legal Counsel, you will work directly under the Head of M&A and Finance Legal Counsel, based in Paris. In close collaboration with our Business and Finance teams, you will play a key role in structuring, drafting and negotiating Mistral’s external growth transactions and equity fundraisings.
Mistral operates at the frontier of AI, where the pace of innovation demands transaction execution speed and precision that match the technology itself. You will help shape the growth and business relationships that will define Mistral’s next chapter.
Key responsibilities
Draft, negotiate and advise on a wide range of M&A transactions, including acquisitions, acqui-hires and other internal or external growth projects worldwide.
Take an active part in every stage of M&A transactions: deal structuring, due diligence, negotiations, signing and closing.
Coordinate the process for Mistral’s equity fundraisings, including legal communication with prospective investors, structuring the company's due diligence disclosure, drafting investment documentation and leading the signing and closing of equity fundraisings.
Coordinate and assist on Mistral’s secondary sale transactions on behalf of investors and employees.
Draft, negotiate, and advise on transaction documentation, including LOIs, NDAs, SPAs, shareholders' agreements, investment agreements, and other ancillary transaction documents.
Collaborate with cross-functional teams, including other corporate functions.
Build internal templates, practices, and guidelines for M&A and equity financing documentation.
Support on other legal topics as needed, particularly on compliance matters related to corporate affairs.
