What you do

  • Advise management and senior leaders in the organization on all corporate legal topics, in particular French corporate topics. This includes the preparation of meetings of corporate boards and committees, the management of delegations of power, the exercise of shareholder rights in 80+ entities of the Allianz Partners Group, and the completion of French corporate legal formalities.
  • Advise management and senior leaders in the organization on M&A transactions, cross-border corporate re-organizations, and corporate post merger integration. This includes a close coordination with other functions, such as corporate finance, accounting, tax, human resources, and organizational management.
  • Act as key advisor to management on regulatory matters for the French insurance companies of the Allianz Partners Group, including regular interactions and notifications, supporting regulatory reviews and remediation programs, as well as advising on regulatory implications of internal reorganizations.
  • Act as contact point for the French insurance supervisor ACPR and maintain and strengthen the professional relationship with ACPR; furthermore, maintain regular interaction with regional and local lawyers from the Allianz Partners legal network on regulatory interactions.
  • Corporate housekeeping for Allianz Partners French and German holding and insurance entities, including management of relevant corporate registrations; continuous liaison with Allianz Partners local legal departments as well as Allianz Group on corporate topics.
  • Advice on corporate governance matters concerning the Allianz Partners group as well as review and update internal corporate rules and coordinate with internal stakeholders on the rules framework applicable to their area.
  • Advise on and prepare inter-company agreements and intra-group structural and transformational measures (e.g. corporate mergers, company or branch establishments, control and profit loss transfer agreements) as well as advice on intra-group IT agreements and related operations.
  • Review, further develop and support the adoption digital tools for standardization and automation of legal tasks related to corporate process and actively contribute to the transformation of the Allianz Partners Global legal team.
  • Drafting and negotiation of contracts and templates, in particular service agreements, in support to other departments such as human resources, communication, procurement.
  • Providing general legal advice to management and other internal stakeholders on various legal topics arising in the business context of a multi-national organization.
  • Contribute to the global Allianz Partners legal and regulatory legal watch.

 

 

What you bring

  • A relevant law degree and a valid EU legal qualification (preferably both French), ensuring a strong foundation in legal principles.
  • A minimum of 6+ years of post-qualification experience, either in a law firm or in-house, with a focus on French corporate and/or regulatory matters
  • Solid knowledge in French corporate law and European and French insurance supervisory regulation; experience in other adjacent fields (e.g. financial services law, insurance contract law,  financing law, IT contract law and DORA regulations) is a plus.
  • Proven experience in successfully managing complex legal transactions or regulatory matters in an international organization, ideally with a link to the insurance industry.
  • Structured and analytical mindset to tackle complex problems while remaining adaptable to changing business environments.
  • Ability to provide clear and easily digestible legal advice on complex matters across all levels of the organization.
  • Eagerness to work in a multinational, fast-paced organization and ability to effectively communicate in an environment with colleagues from various cultural backgrounds.
  • Interest and ideally experience in digital transformation of legal and corporate processes.
  • Resilience under pressure.
  • Ability to foster strong collaboration across departments, effectively engaging with colleagues to achieve shared goals.
  • Work effectively in an environment shaped by artificial intelligence (AI), machine learning, data, analytics and cloud-based tools, using insights responsibly with our standards of data governance, security and ethical use.
  • Solid understanding of the interplay between legal requirements and business objectives, actively supporting Allianz Partners in achieving strategic goals.
  • Fluent business French and English; proficiency in additional languages is advantageous.
