Key Responsibilities/What you do



  • Advise management and senior leaders in the organization on all corporate legal topics, in particular German and French corporate legal topics. This includes the effective management of meetings of corporate boards and committees and other corporate process (e.g. delegations of power, the exercise of shareholder rights in 80+ subsidiaries, corporate housekeeping matters).

  • Act as key legal contract for management and senior leaders in the organization on M&A transactions, large cross-border corporate re-organizations, and corporate post merger integration. This includes close coordination with other functions, such as corporate finance, accounting, tax, human resources, and organizational management as well as Allianz Group.

  • Advise management on regulatory matters for Allianz Partners Group, including the French insurance companies and German shared service entity, including regulatory reviews and remediation programs, as well as advising on regulatory implications of internal reorganizations.

  • Responsibility for the System of Governance of the Allianz Partners Group and the effective management of the Governance and Control Committee, the annual System of Governance Review, as well as training of senior leaders in the organization on system of governance and regulatory requirements.

  • Leading and further developing the corporate and regulatory team at Allianz Partners Global Legal and maintaining regular interaction with lawyers from the Allianz Partners legal network on corporate matters.

  • Advice the board of management of Allianz Partners on corporate governance and organizational matters, supporting the clear allocation of responsibilities in a global, multi-layered organization. Responsibility for review and maintenance of internal corporate rules.

  • Advise on inter-company agreements and intra-group structural and transformational measures (e.g. corporate mergers, company or branch establishments, control and profit loss transfer agreements).

  • Drive the transformation of the corporate legal work at Allianz Partners through the adoption of new digital tools to simplify processes and to increase standardization and automation of legal tasks related to corporate processes.

  • Providing general legal advice to management and other senior stakeholders on various legal topics arising in the business context of a multi-national organization.

  • Oversee the global Allianz Partners legal and regulatory legal watch with regard to EU corporate and regulatory topics.


 


 


Key Requirements/What you bring



  • A relevant law degree and a valid EU legal qualification (preferably both German or French).

  • A minimum of 10+ years of post-qualification experience, either in a law firm or in-house, with a focus on corporate and/or M&A.

  • Strong knowledge in German or French corporate law and European insurance supervisory regulation; experience in other adjacent fields (e.g. financial services law, insurance contract law, financing law, IT contract law and DORA regulations) is a plus.

  • Proven experience in successfully managing complex legal transactions or regulatory matters in an international organization, ideally with a link to the insurance industry.

  • Structured and analytical mindset to tackle complex problems while remaining adaptable to changing business environments; strong solution orientation and ability to lead interdisciplinary project teams.

  • Ability to provide clear and easily digestible legal advice on complex matters across all levels of the organization.

  • Leadership experience and a growth mindset to further develop the corporate and regulatory team; ability to work together with other legal team heads to influence and further grow the wider Allianz Partners Legal team.

  • Eagerness to work in a multinational, fast-paced organization and ability to effectively communicate in an environment with colleagues from various cultural backgrounds.

  • Experience in digital transformation of legal and corporate processes.

  • Resilience under pressure.

  • Strong business acumen and understanding of the interplay between legal requirements and business objectives to actively contribute to the achievement of the strategic goals of the Allianz Partners Group.

  • Fluent business French and English; proficiency in additional languages, is advantageous.
